Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cavitech AI platform, including all associated services, applications, and websites (collectively, the "Service"), operated by Cavitech AI (Pty) Ltd ("Cavitech," "we," "us," or "our"), a company registered in South Africa with operations in the United States.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a dental practice, clinic, or organisation, you represent that you have authority to bind that entity to these Terms.

Section 1

Definitions

"Account" means your registered account on the Cavitech AI platform. "Patient Data" means any data relating to an identifiable patient uploaded to or generated within the Service, including dental radiographs, clinical notes, treatment plans, and personal information. "AI Output" means any analysis, finding, suggestion, annotation, or report generated by the Cavitech AI system. "Authorised User" means any individual granted access to the Service under your Account. "Practice" means the dental practice, clinic, or organisation associated with your Account.

Section 2

Nature of the Service

Cavitech AI provides clinical decision support tools and practice management software for licensed dental professionals. The Service includes AI-powered radiograph analysis, ambient clinical note transcription, treatment planning assistance, scheduling, patient intake, and related operational tools.

IMPORTANT: The AI-powered features of the Service are clinical decision support tools only. They do not constitute medical or dental diagnosis, and are intended solely as a second opinion to assist licensed dental professionals. All AI Output must be independently reviewed, verified, and approved by a qualified dental professional before any clinical action is taken. The treating dentist retains full and sole responsibility for all clinical decisions, diagnoses, and treatment plans.

Section 3

Account Registration & Eligibility

You must be a licensed dental professional, or an authorised representative of a dental practice, to create an Account and use the clinical features of the Service. By registering, you represent and warrant that: (a) you hold a valid dental license in your jurisdiction of practice; (b) all registration information you provide is accurate, current, and complete; (c) you will maintain the security of your Account credentials; (d) you will promptly notify us of any unauthorised access; (e) you accept responsibility for all activity under your Account.

Section 4

Beta Programme

The Service is currently offered as a free beta programme. During the beta period: (a) the Service is provided "as is" and "as available" without any warranties of any kind; (b) features may be added, modified, or removed without prior notice; (c) we do not guarantee uptime, availability, or service level commitments; (d) we reserve the right to limit, suspend, or terminate beta access at any time. When the beta programme concludes, we will provide reasonable notice before transitioning to paid subscription plans. Your continued use after paid plans launch constitutes acceptance of the applicable pricing and billing terms.

Section 5

Patient Data & Your Responsibilities

You retain full ownership of all Patient Data uploaded to the Service. You are solely responsible for: (a) obtaining all necessary patient consents before uploading Patient Data to the Service; (b) ensuring compliance with applicable data protection laws in your jurisdiction, including POPIA (South Africa), HIPAA (United States), GDPR (European Union), and UK Data Protection Act 2018; (c) the accuracy and legality of all Patient Data you upload; (d) determining whether the Service is appropriate for your clinical and regulatory context. Cavitech does not use Patient Data to train, improve, or develop AI models. Patient Data is processed solely to deliver the Service to you.

Section 6

Intellectual Property

The Service, including all software, algorithms, models, designs, trademarks, and documentation, is the exclusive property of Cavitech AI (Pty) Ltd and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble any part of the Service; (c) sublicense, resell, or redistribute the Service; (d) remove any proprietary notices from the Service. AI Output generated from your Patient Data is provided to you for clinical use within your Practice. Cavitech retains all rights in the underlying models and algorithms that produce such output.

Section 7

Limitation of Liability

To the maximum extent permitted by applicable law, Cavitech AI shall not be liable for: (a) any indirect, incidental, special, consequential, or punitive damages; (b) any loss of profits, revenue, data, or business opportunity; (c) any clinical decisions, diagnoses, or treatment plans made based on AI Output; (d) any harm to patients arising from the use or misuse of the Service. The Service is a decision support tool. The treating dental professional bears sole responsibility for all clinical decisions. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to Cavitech in the twelve (12) months preceding the claim, or one hundred US dollars (USD $100), whichever is greater.

Section 8

Indemnification

You agree to indemnify, defend, and hold harmless Cavitech AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any clinical decisions made using AI Output; (e) any Patient Data you upload to the Service; (f) any claim by a patient or third party related to your use of the Service.

Section 9

Termination

Either party may terminate these Terms at any time. You may close your Account by contacting us at hello@cavitech-ai.com. We may suspend or terminate your access if: (a) you breach these Terms; (b) we are required to do so by law; (c) we discontinue the Service. Upon termination: (i) your right to access the Service ceases immediately; (ii) we will provide you with a reasonable period (not less than 30 days) to export your Patient Data; (iii) after the export period, we will delete your Patient Data in accordance with our data retention policies and applicable law.

Section 10

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. For users based in the United States, disputes may alternatively be resolved under the laws of the State of Florida. Any dispute arising from these Terms shall first be subject to good-faith negotiation for a period of thirty (30) days. If unresolved, disputes shall be submitted to binding arbitration in Johannesburg, South Africa, or for US-based users, in Miami, Florida, under the rules of the applicable arbitration body. Nothing in this clause prevents either party from seeking injunctive relief in any court of competent jurisdiction.

Section 11

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. For material changes that affect your rights or obligations, we will provide at least fourteen (14) days' notice via email or in-app notification. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.
